The Articles of Incorporation and the ByLaws of Parity International Incorporated were mailed, priority & certified, to the Ohio Secretary of State on November 15, 2005. The Articles state the activation of Parity International Incorporated as December 1, 2005. The filing was sent to PO Box 670, Columbus, Ohio 43216. www.parityinternational.org was referenced in the Articles; however, www.parity.org was excluded until the URL may be obtained.

Expenses and time incurred for developing and mailing the Articles and ByLaws were paid by George Fournier, Chairman of the Board. Estimated number of work hours: >50+ hours on the Articles of Incorporation, and >60+ hours on the ByLaws. Nominal filing fees incurred were $125USD and priority postage of $7.90USD. Certified mail receipt number is 7004 2890 0000 3484 2182 was issued from the Grandview Height Post Office.

Pending requisite resolutions include:

a. The SS-4 must be requested upon the receipt of registration.
b. Establish a bank account.
c. Legal counsel must be consulted for formal IRS filing.
d. An accountant and fundraising consultant may be required.
e. Authorization for the reimbursement of expenses must be ratified.
f. Corporate books on a stand alone secure system is required.
g. The corporate seal was a highlighter pressed into the seal area in order to comply with filing requirements. The need for a corporate seal was mentioned in the ByLaws.
h. Groove.net office space is required for the annual meeting of the board.
i. Sourcing agreements require the firm review of legal counsel.
j. Volunteer committees are deferred until 2006.
